Terms of Service

Last Updated: July 2026
Governing Law: Laws of the People's Republic of China (PRC), including applicable international maritime conventions as incorporated into PRC law

Welcome to the digital platform of Shanghai ChinAfrika Logistics Limited (referred to as "ChinAfrika Logistics", "CALL", "we", "us", or "our"). These Terms of Service govern your access to and use of our website, online quotation engines, tracking systems, and the provision of our international freight forwarding and logistics organization services (NVOCC).

Important: By accessing this platform or booking a service with CALL, you agree to be bound without reservation by these terms. If you do not agree with all of these terms, please do not use our digital services or entrust your cargo to our company.

Part 1: Use of the Digital Platform

1.1 Account Creation & Access

Access to certain advanced features on our platform (custom quotation requests, online booking, shipment tracking) requires the creation of a professional account. You agree to provide accurate, complete, and updated information during registration.

You are solely responsible for maintaining the confidentiality of your account credentials. CALL reserves the right to immediately suspend or terminate any account in the event of fraudulent use, misrepresentation, or violation of these terms.

1.2 Intellectual Property & Use License

All content present on this website (texts, logos, graphics, software, databases, freight calculation tools) is the exclusive property of Shanghai ChinAfrika Logistics Limited or its licensors and is protected by international copyright and intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access the platform solely for legitimate professional purposes. You are strictly prohibited from copying, modifying, decompiling, extracting data (data scraping), or redistributing any element of the platform without prior written authorization.

1.3 User Conduct & Prohibited Activities

By using our platform, you formally agree not to:

  • Upload, post, or transmit any illegal, defamatory, or fraudulent content, or content containing computer viruses or malicious code;
  • Attempt to gain unauthorized access to CALL's servers, databases, or other users' accounts;
  • Disrupt the integrity or security of the quotation engines and logistics tracking APIs;
  • Use the platform to plan the shipment of sanctioned or illegal goods.

1.4 User-Submitted Content & Moderation

When you upload documents to the platform (e.g., packing lists, commercial invoices, shipping instructions), you retain ownership of your documents. However, you grant CALL the right to use, reproduce, and transmit these documents to customs authorities and logistics partners strictly for the execution of your freight operations.

CALL reserves the right to moderate, hide, or remove any inappropriate or non-compliant document or message submitted through the client portal.

1.5 Quotation Engine & Third-Party Services

Indicative Nature of Automated Quotations & Booking Process:

Estimations for freight rates, customs duties, surcharges, or transit times generated automatically on our website are provided for informational purposes only. Online acceptance of a quote by the user (via the booking request button) constitutes a booking request (offer) and does not require an additional formal quote. However, this quote remains indicative and only becomes legally binding upon CALL's effective issuance of an official Shipping Order (SO) or Booking Confirmation validating the routing, vessel capacity, and applicable rates.

Our website may include links or APIs managed by third parties (live vessel tracking, payment gateways). CALL exercises no control over these external services and disclaims any responsibility regarding their content or availability.

Part 2: Operational Trading Terms & Maritime Cargo (NVOCC)

2.1 NVOCC Status & Prevalence of Bill of Lading (B/L) Terms

Shanghai ChinAfrika Logistics Limited operates as a freight forwarder and Non-Vessel Operating Common Carrier (NVOCC). CALL holds NVOCC registration with the Ministry of Transport of the PRC under Reg. No. BAHZD2023-14108. CALL organizes international transport by contracting with licensed ocean, air, and rail carriers.

Legal Prevalence Clause: In the event of any conflict or inconsistency between these Website Terms of Service and the terms printed on the reverse side of the Ocean Bill of Lading (B/L) or Air Waybill (AWB) issued by CALL, the provisions of the Bill of Lading or AWB shall exclusively prevail regarding all matters pertaining to the physical transportation of cargo, carrier liability, and claim handling.

The customer acknowledges having read, understood, and accepted the terms on the reverse side of the Bill of Lading or Air Waybill, and agrees that such terms shall prevail over these Website Terms of Service.

2.2 Quotations, Surcharges, Demurrage, Detention & Storage Charges (Export / Import)

Unless otherwise stated in writing, our quotations are valid for a limited period and remain subject to ocean freight surcharges (BAF, CAF, PSS, GRI) applied by shipping lines at the actual date of shipment.

Free Time Management & Detention Charges (Export & Import): The customer is required to strictly adhere to the free-time allowances granted by ocean carriers for container pickup, loading, and return.

  • At Port of Loading (Export - China): All detention, demurrage, terminal storage charges (Storage / Demurrage), reefer plug-in fees, or vessel rollover fees resulting from delays in customs declaration, physical customs inspection (Customs Inspection), missing export documentation, or late container delivery (Late CY Cut-Off) shall be borne exclusively by the shipper or booking customer.
  • At Port of Destination (Import - Africa): All demurrage charges (demurrage), quay detention (detention), port storage, container yard fees, or customs inspection fees at destination (e.g., Douala, Abidjan, Mombasa, Kribi) resulting from customs clearance delays, non-payment, or late collection shall be borne exclusively by the consignee and booking customer, who remain jointly and severally liable.

2.3 Customer Obligations, Packaging & Dangerous Goods (IMO / HAZMAT)

The customer guarantees the accuracy of cargo weights, volumes, HS Codes, and commodity descriptions provided. Packaging must withstand international maritime transport and consolidation (LCL) conditions.

Dangerous Goods (IMO/DG): No dangerous, flammable, explosive, or regulated cargo (including lithium batteries) may be entrusted to CALL without prior written declaration, a signed Material Safety Data Sheet (MSDS), and a Dangerous Goods Declaration (DGD) approved by CALL. The customer assumes full financial and legal liability for all damages, losses, and penalties arising from false or inaccurate dangerous goods declarations.

2.4 International Sanctions, Customs Compliance & Anti-Counterfeiting

The customer guarantees that shipments contain no counterfeit goods and fully comply with customs regulations and export control laws. The customer certifies that neither the shipper nor the consignee appears on international sanction lists, including those maintained by the United Nations, the European Union, OFAC, and the People's Republic of China. Sanctions compliance by CALL shall at all times be subject to and exercised in accordance with the laws of the People's Republic of China. Nothing in this clause shall require CALL to take any action contrary to applicable PRC law, including any blocking statutes or anti-foreign sanctions legislation. The customer agrees to fully indemnify CALL against any customs fines, seizures, or legal expenses resulting from a breach of this warranty.

2.5 General Average

In the event of a General Average declaration by an ocean carrier during the voyage, the customer (or cargo owner) shall remain solely responsible for paying general average contributions and providing the required financial securities for container release. CALL will provide administrative support but shall under no circumstances advance such funds on behalf of the customer.

2.6 Payment Terms & Right of Lien

Unless formal credit terms have been granted, all freight charges and transit fees are payable prior to the issuance of original bills of lading or cargo release (Express Release / Telex Release).

Right of Lien: CALL holds a general and specific legal lien over all cargo, shipping documents, and bills of lading in its possession to secure payment of any outstanding amounts owed by the customer (freight, storage, customs duties, handling fees), whether relating to the active shipment or prior unpaid balances.

2.7 Cross-Border Data Transfer (PIPL Compliance)

To facilitate global logistics operations, shipping documentation, and destination customs clearance, the customer expressly authorizes CALL to transfer necessary operational data (shipper, consignee, and notify party details) to overseas partners outside Mainland China, in accordance with Article 5 of the CAC Provisions (2024) and the PIPL law. For further details, please review our Privacy Policy.

2.8 Governing Law & Dispute Resolution (Negotiation, Arbitration & Jurisdiction)

These Terms of Service and all freight agreements concluded with CALL shall be governed by and construed in accordance with the laws of the People's Republic of China.

Escalating Dispute Resolution Procedure:

  1. Amicable Phase (Negotiation / Mediation): In the event of any dispute or claim arising from CALL's services, the parties agree to first attempt to resolve the matter in good faith through direct negotiation or mediation within thirty (30) days from written notification of the dispute.
  2. International Arbitration (SHIAC): If no amicable resolution is reached within 30 days, the dispute shall be submitted to arbitration administered by the Shanghai International Arbitration Center (SHIAC) in accordance with its arbitration rules in effect at the time of filing. The seat of arbitration shall be Shanghai, PRC. The language of arbitration shall be English or French (as agreed by the parties). The arbitral award shall be final and binding upon both parties.
  3. Fallback Jurisdiction: In the absence of an agreement to arbitrate or for urgent conservatory/injunctive measures (including the exercise of a possessory lien over cargo), the parties submit to the exclusive jurisdiction of the Shanghai Maritime Court, PRC.
